Ticaret şirketlerinin yapısal değişikliklerinde ortakların paylarının ve haklarının korunması

Abstract

Bu tezde Türk Ticaret Kanunu uyarınca ticaret şirketlerinin birleşme, bölünme ve tür değiştirme işlemlerinde ortakların korunması incelenmiştir. Tezin ilk bölümünde yapısal değişiklik türleri ve kavramı, ortakların korunması ihtiyacı ve kavramı ve ortakların payları ve haklarının korunmasının kaynağı olan ortaklığın devamlılığı ilkesi incelenmiştir. Ortaklığın devamlılığı ilkesi incelenirken bu ilkenin ortakların korunmasındaki önemi ile ilkenin istisnaları üzerinde durulmuştur. Tezin ikinci bölümünde ortakların yapısal değişiklik sürecinde ve sonrasında korunması ele alınmıştır. Bu bağlamda yapısal değişiklik sürecinde ortakların korunması için öngörülen mekanizmalar ile yapısal değişiklik sonrası ortakları koruyucu davalar incelenmiş, gereğinde hükümlerde değişiklik önerileri sunulmuştur.

In this thesis, regulations related with the protection of partners in the merger, division/demerger and conversion of commercial companies have been examined in accordance with the Turkish Commercial Code. In the first chapter, the types and notion of structural changes, the need and concept of the protection of partners and the principle of continuity of the partnership –which is the source of the protection of the shares and rights of the partners- have been examined. The importance of this principle in the protection of the partners and the exceptions of the principle have been emphasized while examining the principle of continuity of the partnership. In the second chapter of the thesis, the protection of partners during and after the structural changes of the companies have been evaluated. In this context, the protective mechanisms during the structural change process and the protective lawsuits after the structural changes have been examined and amendments have been proposed when necessary.
