Abstract

The subject of this study, mainly, analyse the statute of penal clause which takes place in Turkish contract law also with the other branches of law. And also the changes or nonchanges in Draft of Turkish Contract Law about penal clause will be touched on, by the related parts, with this study. In first chapter of this study, the concepts and the implementation about the terminologic definition, elements, aim and legal attribution of penal clause will be explained, and in second chapter the types of penal clause, necessarity of accelaration clause and legal articles of penal clause will be explained, and in the third and last chapter the relatonship between the penal clause and loss, and the expire of penal clause will be explained finally. In the part of result of this study, the legal decision of penal clause in Draft of Turkish Conctracy Law will be analysed generally and our concept about this subject will be presented.
